Welcome to Onboardly ("Service," "Platform," "we," "us," or "our"). These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Onboardly regarding your access to and use of our client onboarding platform and related services.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract and have the authority to enter into this Agreement.

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials.

3. Description of Service

Onboardly provides a cloud-based platform that enables organizations to create and manage client onboarding workflows, collect information and payments from clients, automate onboarding processes, customize client-facing portals, and track onboarding progress.

The Service is provided on an "as-is" and "as-available" basis.

4. Subscription Plans and Billing

We offer various subscription plans with different features and limitations. Payments are processed through Stripe, PayPal, and Wise. Subscriptions automatically renew unless cancelled.

You may upgrade or downgrade your plan at any time. You may cancel your subscription at any time, and cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable law or regulation
  • Infringe on intellectual property rights
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Use automated systems to access the Service without permission
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization

6. User Content and Intellectual Property

You retain ownership of all content you upload, submit, or transmit through the Service. By using the Service, you grant us a license to store, process, transmit, and display your content to provide and improve the Service.

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Onboardly and protected by intellectual property laws.

7. Third-Party Services and Integrations

The Service integrates with third-party services, including payment processors (Stripe, PayPal, Wise), scheduling services (Calendly), authentication services (Google), and email services (Resend).

Your use of third-party services is subject to their respective terms and conditions. We are not responsible for third-party service availability, performance, or data handling.

8. Data Protection and Privacy

We process your data in accordance with our Privacy Policy. When processing client data through the Service, you agree to comply with applicable data protection laws (GDPR, CCPA, etc.) and obtain necessary consents from clients.

9. Service Availability and Modifications

We strive to maintain Service availability but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue features with reasonable notice of material changes.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONBOARDLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, REVENUE, OR DATA, OR BUSINESS INTERRUPTION.

11. Indemnification

You agree to indemnify, defend, and hold harmless Onboardly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or violation of any law or third-party rights.

12. Termination

You may terminate your account at any time by cancelling your subscription or contacting support. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees, or pose a security risk.

Upon termination, your right to use the Service immediately ceases, and we may delete your account and data.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website, sending email notifications, or displaying in-app notifications.

Your continued use of the Service after changes constitutes acceptance of the updated Terms.
